Terms of Service

Effective November 16, 2026 · Last updated November 5, 2026

These Terms of Service (“Terms”) govern your use of BidFunnels (bidfunnels.com), operated by Product Tools LLC (“we,” “us,” “our”). By creating an account or using the service, you agree to these Terms on behalf of yourself and the company you use it for. If you use BidFunnels for a company, you confirm you have authority to bind it. If you do not agree, do not use BidFunnels.

1. The service

BidFunnels helps small government contractors find public contract opportunities, judge which are worth bidding on, organize what a solicitation requires, and draft proposal sections from their own files and saved answers. It gathers notices from public government sources, such as SAM.gov, state and city procurement sites and open-data portals, and the E-Rate program, scores them against your company profile, reads solicitation documents, and uses AI to produce drafts.

BidFunnels is a research and drafting tool. It does not submit bids or proposals for you, does not act as your agent before any government body, and does not guarantee that you will win any award. BidFunnels is not affiliated with, endorsed by, or acting for SAM.gov, the General Services Administration, the Universal Service Administrative Company (E-Rate), or any federal, state or local agency.

2. Accounts and team members

You sign in with a one-time code or link we email you; there is no password. Your email inbox protects your account, so keeping it secure is your responsibility, and you are responsible for activity under your account. You must give accurate information, keep your email address current, and be at least 18.

Each account belongs to one company and has one owner: the person who created it. On plans with more than one seat, the owner can invite people by email to join as members. You may only invite people you have the right to invite, such as your own staff, and we send the invitation to the address you enter. Members must accept these Terms when they join. Members share the company’s bids, files, drafts, saved answers and AI credits. The owner is responsible for members’ use of the service and for all billing. Only the owner can change the plan, buy seats or credits, invite or remove members, or delete the account.

  • Work a member does belongs to the company account. If a member leaves or is removed, their work stays with the company and they lose access to it.
  • If someone you invite already has their own BidFunnels account with nothing in it, that empty account is closed when they join yours. An account with work in it can’t join another company.
  • If the account moves to a plan with fewer seats, the members who no longer fit are paused, not deleted: they can’t sign in to the company until there are seats for them again.

3. Free trial

New accounts get a 7-day free trial of Pro with 300 AI credits and 2 seats. You don’t need a payment method to start it, and each person gets one trial. You can’t buy extra seats during a trial. When the trial ends without a paid plan, your account moves to the Free plan and any members are paused.

If you add a payment method and choose a plan during the trial, that plan begins when the trial ends and we charge its price as shown on our pricing page and at checkout, monthly or yearly as you chose, and it renews at that interval until you cancel. If you choose a plan after the trial, we charge you that day. You can cancel before the trial ends and you will not be charged.

4. Plans, credits and billing

What each plan includes and costs is on our pricing page. In short: the Free plan is a weekly email of new opportunities for one NAICS code, without search or fit scores. Starter adds search, scores, alerts and the pipeline for one person, with no AI features. Pro adds the AI features and AI credits, includes more than one seat, and is the only plan that sells extra seats.

  • Paid plans are billed monthly or yearly, in advance, starting the day the plan begins.
  • Pro includes a monthly allowance of AI credits, used by AI features such as reading solicitation documents, drafting and checking a proposal. The app shows what an action costs before you run it. Included credits renew each billing month and do not carry over. Credits you buy on top do not expire, but can only be used on a plan with AI features. Credits have no cash value and are not refundable.
  • Extra seats are billed with your plan, at the same interval. If you remove an extra seat, it stops renewing but is not refunded: it stays usable until the end of the period you paid for.
  • If you change plans, an upgrade or a change of billing interval is charged right away for the rest of the period, and a downgrade leaves a credit on your next invoice. Moving to Starter pauses members beyond its one seat.
  • If a payment fails, you keep your plan for 7 days while you fix your card. After that, the account moves to Free until it is paid.
  • Payments are processed by Stripe. By subscribing you authorize us to charge your payment method at the interval you chose until you cancel. Prices exclude taxes, which are added where required.
  • You can cancel at any time from the billing page in the app. Cancellation takes effect at the end of the current billing period; you keep access until then. Fees already paid are non-refundable except where the law requires otherwise.
  • We may change our prices. We will email you at least 30 days before a price change affects your next renewal, so you can cancel first if you prefer.

5. Your content and files

You keep all rights to the files you upload, the company information you enter, the answers you save and the drafts you create (“your content”). You give us a limited, non-exclusive license to store, process and display your content only to run the service for you, including sending the relevant parts to our AI providers as described in our Privacy Policy. We do not use your content to train AI models, and we do not allow our AI providers to do so.

You confirm that you have the right to upload your content and to let us process it this way, including any information about your staff, partners or clients that it contains.

Saved answers in your Answer library are text your company writes or saves for reuse, and AI drafts use them as sources the same way they use your files. You are responsible for their accuracy. When you save a paragraph from a draft, the app asks you to confirm any facts it flagged; confirming means you have checked them.

6. Prohibited content: CUI and controlled data

BidFunnels is not authorized under FedRAMP or any government security program and is not designed to protect controlled information. You must not upload or enter:

  • Controlled Unclassified Information (CUI), whether or not it is marked;
  • classified information of any level;
  • data controlled under export laws, including ITAR and EAR technical data;
  • any information you are not permitted to share with a commercial cloud service, such as a third party’s confidential material you have no right to use.

We refuse files and answers that carry CUI markings, but that check does not catch everything, and keeping controlled data out of BidFunnels is your responsibility. If we learn that prohibited content has been uploaded, we may delete it without notice.

7. AI drafts are drafts

Scores, requirement lists, drafts and other output are produced automatically and may be incomplete or wrong. A draft is a starting point for your own work, not a finished proposal. You are solely responsible for everything you submit to any government buyer, including its accuracy, its compliance with the solicitation, and every representation, certification and price in it. Review all output before you rely on it. Nothing BidFunnels produces is legal, accounting or contracting advice.

8. Opportunity information

Opportunity notices come from public sources and can be late, incomplete, changed or withdrawn by the issuing agency. Due dates and amendments in particular change often. We do not warrant that any notice is complete, current or accurate, and we are not responsible for a missed deadline or amendment. Always confirm details with the official notice before you act.

9. Acceptable use

You agree not to:

  • scrape, crawl or bulk-export the service, our scores, requirement lists or other output, by automated means or otherwise;
  • use the service or its output to build, train or improve a competing product, dataset or model;
  • resell, sublicense or redistribute the service;
  • reverse-engineer the service or try to extract its source code;
  • share your account with people outside the seats your plan includes;
  • use the service to break any law, infringe anyone’s rights, or interfere with its security or operation.

The underlying public notices remain public, and nothing here stops you from getting them from their original sources.

10. Changes to the service

We improve BidFunnels continuously, so features change. If we remove or materially reduce a feature central to the plan you pay for, we will give you at least 30 days’ notice, and you may cancel and receive a pro-rata refund of prepaid fees for the period after the change.

11. Preview features

Features we label as preview, beta or coming soon are not part of what you pay for, are provided as they are, and may change or be withdrawn. Nothing we say about a planned feature commits us to delivering it.

12. Our property

The service, including its software, scoring rules, design and our own content, belongs to Product Tools LLC and is protected by intellectual-property laws. This does not extend to the underlying public records or to your content.

13. Disclaimer of warranties

The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that it will produce any particular result, including any award.

14. Limitation of liability

To the fullest extent the law allows, Product Tools LLC and its suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost contracts or awards, lost data or lost goodwill, arising from your use of or inability to use the service. Our total liability for any claim about the service will not exceed the greater of the amount you paid us in the twelve months before the claim or $100.

15. Indemnity

You will defend and indemnify Product Tools LLC against third-party claims arising from your content, from anything you submit to a government buyer, or from your breach of these Terms, including section 6.

16. Events outside our control

We are not liable for failures or delays caused by events beyond our reasonable control, including outages at our hosting, payment, email or AI providers, changes to or interruptions of public data sources such as SAM.gov, network failures, natural events, or acts of government.

17. Ending your use, and your data

You may stop using the service and cancel at any time. We may suspend or end your access if you materially breach these Terms. Except where a breach risks immediate harm, or the law requires otherwise, we will tell you what the problem is and give you at least 30 days to fix it first.

When your trial or paid plan ends without a paid plan replacing it, your account moves to the Free plan. We keep your company profile, saved and tracked bids, files, answers and drafts, and you see and use them again on a paid plan. You can delete your files and answers at any time, and the owner can delete the whole account from Settings, which deletes them with it. Deleting the account cancels any subscription immediately. Fees already paid are not refunded. Our Privacy Policy explains what we keep and for how long.

18. Survival

Sections 6 through 9 (as to output you obtained), 12 through 16, and 19 through 23 survive the end of these Terms, along with any payment obligations that arose before it.

19. Changes to these Terms

We may revise these Terms. We will post the new version here with a new effective date, and for changes that materially affect your rights we will email you at least 14 days before they take effect. Using BidFunnels after a change takes effect means you accept it; if you don’t, you may cancel.

20. Notices

We give notice by email to the address on your account; it counts as received the day we send it. You can reach us at [email protected].

21. Assignment

You may not transfer these Terms or your account without our written consent. We may assign these Terms to an affiliate or as part of a merger, acquisition, reorganization or sale of substantially all of our assets.

22. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. You agree to the exclusive jurisdiction of the state and federal courts in Texas for any dispute not otherwise resolved.

23. General

  • Severability. If a provision is unenforceable, it is limited to the minimum extent needed and the rest stays in force.
  • No waiver. Not enforcing a provision is not a waiver of our right to enforce it later.
  • Entire agreement. These Terms and our Privacy Policy are the whole agreement between us about the service.
  • Relationship. These Terms create no partnership, joint venture, agency or employment relationship.
